Tom Clark focuses his practice on business organizations and commercial transactions. Mr. Clark represents clients across a number of industries commonly found in West Virginia, often acting as general counsel to businesses for which he has provided legal services for a number of years.
Mr. Clark has participated in the following transactions recently:
* Representation of a community-based hospital in acquisitions of physician practices. Mr. Clark provides ongoing representation to the hospital in matters involving physician contracting, government relations and guidance regarding state regulatory matters
* Seller’s counsel in the sale of the assets of a petroleum distribution company to a national network of petroleum distributors
* Seller’s counsel in the sale of the assets of an oilfield services company to a diversified energy producer
* Served as health care counsel to a medical practice in the structuring of a joint venture for certain services ancillary to the conduct of the medical practice
* Developed and implemented governance structures and an asset protection strategy for a family-owned series of companies
* Advising various non-profit organizations on obtaining and maintaining tax-exempt status, implementing conflict-of-interest policies and governance structures
Mr. Clark earned a B.A. from Virginia Tech in 1993 and a J.D. from the University of Pittsburgh in 1997.
